1. Introduction

2. Definitions

Advance Amount: The funded amount paid by Safar Capital against an approved purchase order or invoice.

Reserve: The retained percentage held by Safar Capital until settlement by the buyer/debtor.

Factored Invoice: Any approved invoice assigned to Safar Capital for funding.

PO Financing: Financing granted against approved purchase orders.

Client Portal: Safar Capital's digital platform used by Clients to onboard, submit funding requests, upload invoices/POs, and track financing.
-
Debtor/Buyer: The Client's customer responsible for payment of the invoice.
-
Fees: Discount charges, service fees, late fees, legal costs, bank charges, and any related deductions.
3. Services
Safar Capital may provide the following services:

Purchase order financing;
-
Invoice factoring and receivables financing;
-
Working capital support;
-
Debtor payment collection and reconciliation;
-
Client portal access for application, tracking, and reporting.
All services are subject to approval and internal risk assessment.
4. Client Portal Access
4.1. Clients may create an account on the Safar Capital portal to request finance, upload documents, review approved transactions, and monitor settlements.

4.2. The Client is responsible for maintaining the confidentiality of login credentials and all activity under its portal account.
4.3. Safar Capital may suspend or terminate portal access in case of fraud, misuse, or breach of these Terms.
5. Eligibility and Approval
The Client must:

Be a legally registered entity or sole trader;

Provide valid corporate, financial, and identity documents;
-
Provide complete purchase orders, invoices, and supporting trade documents;
-
Pass compliance, KYC, AML, and credit review.
Approval of any transaction remains at Safar Capital's sole discretion.
6. Submission of Funding Requests
The Client must:

Be a legally registered entity or sole trader;
-
Provide valid corporate, financial, and identity documents;
-
Provide complete purchase orders, invoices, and supporting trade documents;
-
Pass compliance, KYC, AML, and credit review.
Approval of any transaction remains at Safar Capital's sole discretion.
7. Assignment of Receivables
Approved financed invoices are assigned to Safar Capital as security. The Client confirms that:

The invoices are valid and legally enforceable;

Goods/services have been delivered or are deliverable under contract;
-
Receivables are free from prior encumbrance unless disclosed.
8. Funding Structure

Safar Capital may fund an agreed percentage of PO or invoice value.

The remaining amount is retained as reserve.
-
Reserve is released after receipt of full buyer payment, subject to deductions.

Safar Capital may offset shortfalls, disputes, late charges, or previous outstanding balances against current or future reserves.
9. Variance and Adjustments
Where funded PO amount differs from final invoice amount:

Safar Capital may adjust funding based on actual invoice value;
-
Overpayments, underpayments, shortfalls, debit notes, and late payment charges may be adjusted against future transactions;
-
Factored and non-factored portions of an invoice may be separately reconciled.
9. Variance and Adjustments
Where funded PO amount differs from final invoice amount:

Safar Capital may adjust funding based on actual invoice value;

Overpayments, underpayments, shortfalls, debit notes, and late payment charges may be adjusted against future transactions;

Factored and non-factored portions of an invoice may be separately reconciled.

10. Fees and Charges
The Client agrees to pay:

Agreed discount/factoring fees;

Processing fees;
-
Late payment fees;
-
Recovery and legal costs;
-
Banking and transfer charges.
Safar Capital may deduct these amounts from disbursements, reserves, or collections.​​
11. Client Obligations
The Client must:

Provide accurate information and genuine trade documents;
-
Notify Safar Capital of disputes, returns, payment delays, or credit notes;
-
Ensure buyer payments are directed to designated Safar Capital accounts where applicable;
-
Maintain complete accounting records;
-
Cooperate with audits and compliance reviews.

12. Debtor Payments
If debtor payments are received directly by the Client:

Client must notify Safar Capital immediately;
-
Amount must be remitted within 1 business day;
-
Failure to remit may result in default and legal action.

13. Data Protection and Confidentiality
Safar Capital may collect, process, and retain client information submitted through the portal for service delivery, compliance, and business operations. Information shall be handled in accordance with applicable privacy laws and internal confidentiality policies.
14. Default Events
Default includes:

Fraudulent or misleading information;
-
Non-payment of obligations;
-
Unauthorized receipt of debtor funds; ​

Insolvency;
-
​Breach of these Terms.​
Safar Capital may suspend funding, retain reserves, or recover outstanding amounts immediately.

15. Limitation of Liability
Safar Capital is not liable for:

Buyer insolvency;
-
Delays in debtor payment;
-
Indirect losses or loss of profits;
-
Service interruptions caused by force majeure or third-party systems.
